COMMERCIAL AGREEMENT TO USE “THAT TORONTO STUDIO”
DEFINITIONS
“Agreement” refers to all of the terms and conditions contained in this commercial agreement.
“THAT Toronto Studio” refers to the photography studio space, which at the time of this Agreement is located at 260 Carlaw Avenue, Unit #202A in Toronto, Ontario, Canada, M4M 3L1. This is also at times known as TorontoEventSpaceRentals.ca
“Renter”/“you”/“your” refers to the person placing the booking at THAT Toronto Studio, as well as said person’s team members or anyone else which may the person who placed the booking permits inside THAT Toronto Studio at any time.
“Management” refers to Camco Media Corp. which owns the rights to and manages THAT Toronto Studio.
“Equipment” refers to (1) any and all item(s) which are (1) inside of THAT Toronto Studio which may either belong to Management, and/or (2) items of value which may pertain to Renter’s use of the studio but not necessarily belong to Management.
By booking an appointment at THAT Toronto Studio, you warrant that YOU ARE OF LEGAL AGE (and if you are a minor, you will get your legal guardian(s) to book for you in order) to enter into Agreement with Management.
Let’s start off with what NOT to do at our studio.
PROHIBITED ITEMS & ACTIVITIES INSIDE OF THAT TORONTO STUDIO
Not sure if something is ok? Call us! Here is a list of everything prohibited, along with their costs for infractions and/or cleaning or replacement cost expenses if applicable.
We are a classy, and respectable space, and we expect our guests to be equally respectful and thoughtful towards not only our space, but our neighbours as well. While we are very flexible, understanding, and generally easygoing and willing to accommodate many sorts of requests, here are some of our non-negotiable rules.
NO public/open parties. Your parties must be private ($1000 infraction and you will instantly be asked to leave with no refund). Exceptions to this are pop-up shops and retail events (please seek clarification if you plan to have an open event).
NO DJs / outside sound systems or speakers without written approval from Management ($500 infraction + you’ll be asked to leave with no refunds). You can use our sound system which is sufficiently loud but will not trigger any noise complaints.
NO fog nor haze machines ($500 infraction. You’ll be asked to leave with no refunds)
NO smoke bombs nor grenades, especially coloured ones (Renter shall pay $1000/day spent cleaning + expenses to clean)
NO illicit drug consumption / smoking of any kind / vaping ($500 infraction, and if caught smoking anywhere indoors you’ll be asked to leave with no refunds)
NO jello-shots nor drinking games permitted.
NO leaving gear out in hallways, not even temporarily. It is a fire hazard.
NO leaving the studio door open, for any amount of time, it is a fire hazard.
NO glitter / body shimmers / sprayable body oils, bronzers, or anything else that may stain (expense to clean / replace)
NO food, drink, nor alcohol on or near the couches, curtains, nor window-sills
NO cooking of food. Heating of appetizers or small, non-smelly cocktail items is OK
NO open flames / candles / etc., without Management’s written permission
NO items or things which produce strong odours or smells
NO fidgeting with breaker panel / sound system / air conditioners / lights / smart plugs without prior written permission from Management
NO moving plants nor garlands which are not on the studio floor. Don’t water plants.
NO moving any mirrors; they’re bolted to the walls (expenses to fix damage)
Add tax to all fees listed above. or at any point in this Agreement
EXPECTATIONS AT THAT TORONTO STUDIO
THAT FREE CAFE
We provide you with free goodies like snacks and beverages. We don’t ask for much in exchange; just wash, dry, and put back your cups, mugs, and cutlery! Or if you’d like, we offer a cleaning service for $35+tax, where Management will do that for any items requiring either to be washed, dried, or put back in their proper place on your behalf. If you wish to use our cleaning service, simply do not put back the drink ware or cutlery and we will wash, dry, and put everything back for you and bill your card $35+tax.
HOW TO AVOID A STUDIO RESET FEE OR A CLEANING FEE
Leave the studio clean and tidy for the next renter after you, with particular care paid to the washroom (trash not overflowing, no tags on floor, no water on toilet seat). A Cleaning fee will be applied to renters who leave the studio in an obvious reckless manner.
Put everything back where you found it, including any lights you may have used in a neat manner, to avoid penalties. (We suggest taking a picture of where everything is when you first arrive at THAT Toronto Studio or referring to our studio gallery). A studio reset fee will be applied for renters who do not put things back neatly.
Before you leave, please remove all rubbish and place it into the trash bin. If trash bin is full, please take that as well as any portion of backdrop which you may have used (cut it off), and dispose of it in the dumpster located on the West side of the North alleyway of our building.
If any regurgitate is found anywhere in our studio, this will be an automatic cleaning fee.
HOW TO DEAL WITH BROKEN / MISSING / DEFECTIVE ITEMS
If you discover damage, send us a picture before you use said item.
If you use the broken item without notifying Management, we may assume that you broke it.
HOW TO AVOID OVERTIME FEES
Do not stay past your agreed upon end time.
All renters may enter up to 10 minutes before their scheduled start time. Your booking officially ends on the 50 minute mark of the last hour of your appointment. This last 10 minutes is common time between renters to facilitate your tidying and the next renter’s setting up.
OUR SECURITY REQUIREMENTS
You have to keep the door closed and locked at all times when not in use. The door automatically locks when it is closed.
Please text Management once you’ve left THAT Toronto Studio so we can arm the alarm and arm the deadbolt.
Never share your PIN code which you use to enter the studio, as that is unique to you and in the event of a crime will be traced back to you. Note, your pin code may change from the time you book your appointment, to the date on which your appointment actually takes place. Kindly follow up with our management the day before to confirm if your pin code has changed.
Do not allow any strangers to enter the studio without getting permission from Management. NO exceptions.
There is CCTV in use by multiple parties in and around the building. The footage we capture will not be released to anyone without a warrant or an order to comply for purposes pertaining to law enforcement or in the interest of community safety.
For safety and security, you are welcome to arm the deadbolt on THAT Toronto Studio’s front door during your rental.
ACCESS TO EQUIPMENT
Lighting is available for use if required. Lighting rentals include anything which is not pre-built into the space (such as the T8-style white LED industrial hanging tubular bulbs; those are of course free to use). Any lighting beyond that, such as the Mood Lights (the string & fairy lights + neons), or our C-stand mounted video or photography lights, may all available to be rented for an additional fee, unless there is a promo including their use without charge. If there is a promo, the C-stand mounted lights will simply be out in our studio and available for use by (almost) anyone. Exceptions to the free use for the C-stand lighting use includes events, or productions with large amounts of people on set or multiple photographers; if such an event exists where C-stand lighting use is desired, Renter will need to rent the C-stand lights out at their full price of $200+tax. Access to ceiling-mounted lights is always off limits without special written permission from Management.
Prior to the permitted use of Equipment for which Renter has previously paid (ex. professional strobe light rental), Renter shall watch instructional videos on www.thattorontostudio.ca/studio-fyi and confirm that they know how to use Equipment. Once Renter finishes watching instructional videos, Renter will be eligible to use Equipment. Management will also ensure that the correct alarms guarding Equipment or rooms requiring access be disabled prior to Renter’s appointment.
USE OF EQUIPMENT
It is your responsibility to ask permission before using all Equipment, as some uses of Equipment will fall outside the generic fees covered by Renter’s initial payment.
For example, seamless backgrounds are billed at $7+tax per foot. In other cases, you may be billed for moving certain items which must be put back by Management with a certain level of care. For this reason, please do not move/remove/modify any of the following items:
the makeup station mirror, vanity, and bulbs
the bluetooth speaker nor TV and all related cables and chargers
kitchen appliances, cupboards, nor counters
anything from the washroom & change room area
any lighting in a fixed position, nor their respective plugs, switches, or power bars
do not attempt to remove professional lighting gear mounted to the scissoring ceiling stands on rails, nor their modifiers, triggers, or cables
any art on the walls, nor any of Management’s signs
any and all mirrors
any climate control heating/cooling system
any flooring, ceilings, plumbing, paint, backgrounds, walls, doors, handles, counter tops, tables, electrical items, windows, or anything structural
any plants hanging from above. You may move big plants which are on the floor
any other items which Management has not explicitly given permission to move Furniture is generally OK to move so long as it is done with care and lifted rather than dragged across the floors.
DAMAGES, USAGE, AND FEES
You are responsible for any and all damage(s) caused by you and/or your team in association with your use of THAT Toronto Studio.
In addition to giving Management permission to charge your card to process your booking amount in full at the time of, or after you place a booking appointment, you also irrevocably give Management permission to charge your credit card on file with us for reasons which may include, but are not limited to: (a) consumption of seamless paper rolls, (b) overtime or additional Equipment use, (c) cleaning fees, or unauthorized set modification fees, (d) failure to close and/or lock the door when leaving, and damage(s) or loss having occurred as a result of Renter’s negligence, (e) misrepresentation of activities (i.e. Renter rented space for an hour for a stated photoshoot but threw a party and/or also stayed longer than they said), (f) any and all damage(s) to any Equipment, (g) no-shows or bookings cancelled outside the scope of the cancellation policy.
By booking an appointment with Management at THAT Toronto Studio, Renter agrees that Renter’s refusals to pay any and all fees as discussed in this entire Agreement shall result in Renter’s balance outstanding being sent to Reliable Collections by Igor or any other collections agency. Where intentional foul play or a spirit of uncooperativeness is demonstrated, Renter shall also be added to a GTA-wide photography studio owner’s blacklist to be refused service across participating Toronto studios.
DISRUPTION IN SERVICE & UNFULFILLED SERVICES
Should there be any interruptions or deterioration in quality of service during Renter’s time at THAT Toronto Studio, Renter agrees to bear the responsibility for the following, in full without seeking any form of compensation from Management. Interruptions and deteriorations may include, but are not limited to: (a) Acts of God, (b) power outages or electrical issues, (c) internet issues, (d) broken pipes, (e) inadequate or no climate control, (f) construction noise or noise of any kind, (g) blown or spent bulbs or breakers, (h) bathroom issues, (i) kitchen issues, (j) Equipment issues, (k) Renter’s failure to get inside of THAT Toronto Studio, (l) Renter’s failure to be on time for Renter’s booking at THAT Toronto Studio.
Renter accepts that for last minute bookings, THAT Toronto Studio may be in an untidy condition due to not having been cleaned. Additionally, all bookings placed after 9pm for the next morning should be placed for a start time of after 8am, as a 6am start may not be honoured.
You may be entitled to a refund if Management fails to provide THAT Toronto Studio as scheduled and in a reasonably usable condition. If this is the case, call Management immediately to rectify the situation.
Any and all concerns which impede your ability to use the space as required should be reported to Management immediately to allow for Management to solve your problem. Failure to report a problem in a timely manner shall disqualify Renter from potential compensation or compensatory action.
Management shall not for any reason be liable for any fees, penalties, or financial compensation which Renter incurs with any of their team, associates, affiliates, suppliers, or any other vendor, individual, brand, company or legal entity in relation to their shoot at THAT Toronto Studio.
Renter accepts THAT Toronto Studio’s appearance on an as is basis and agrees that it is subject to change at any time and without prior notice, since Management is regularly adding new features and removing outdated decor.
We provide complimentary high speed WiFi, with the access details provided in your confirmation email. Need the WiFi details? They’re also on the wall in the kitchen. While THAT Toronto Studio has a 99.99%+ uptime of high-speed internet, should your use of THAT Toronto Studio depend on access to the internet, it is imperative that you have a backup source of internet, just in case. Unless negligence on the part of Management (i.e. failing to pay the internet bill) has been found, Management shall not be liable for any internet-related issues outside of Management’s immediate control.
INTEGRITY
Renter agrees not to misrepresent their use of THAT Toronto Studio, else be liable to pay a punitive misrepresentation fee of $500.00 CAD (+ 13% HST) in addition to being charged the balance between the rate purchased, and the rate for the package which contains the intended usage for which client is actually using THAT Toronto Studio.
Management has the right to verify any and all claims made by Renter.
OUR REFUNDS, CANCELLATION, AND RESCHEDULING POLICY
Renter shall pay in full the entire cost of their booking at the time of actually scheduling their appointment. Any cancellations or reschedules, if applicable, may be issued as studio credit for the full booking value of the appointment, or as a one-time complimentary reschedule as per the policy below.
> 48 hours notice: Renter may reschedule their shoot once at no charge. If Renter needs to reschedule a second time, Renter must pay 50% of the original or upgraded full booking value.
< 48 hours notice: if renter is a no-show or provides less than 48 hours notice for a cancellation or reschedule, Renter shall forfeit the full value of their booking.
LIABILITY
Renter shall at all times ensure that Renter’s guests / invitees / crew are all in a condition to get home safely—Renter shall not let anyone drive home under the influence of any substances which may impair their ability to maneuver their vehicle.
Management takes reasonable effort to ensure the safety of Equipment at THAT Toronto Studio. Renter agrees to use THAT Toronto Studio, its Equipment, as well as any materials both tangible and intangible (website and payment processing system included), on an “as is” basis. While Management has taken reasonable efforts to maintain THAT Toronto Studio, Equipment, and any related materials, because Management does not have the opportunity to test Equipment or materials between every rental, Renter shall be responsible for verifying that any Equipment or materials are safe to use prior to their use.
If Renter has any doubts about the safety of any Equipment, Renter shall stop using Equipment and immediately call Management with their concern so that a solution may be provided to you.
Upon booking THAT Toronto Studio, Renter agrees to hold harmless, and release Management of all liability should anyone injure themselves, anyone else, or break, damage, lose, steal, or mishandle any Equipment, as well as act out any other action leading to any loss, injury, or any other considerable reason to seek damages as a result of activities caused by or being in or nearby to THAT Toronto Studio. By booking THAT Toronto Studio and using Equipment, you warrant that anyone who shall operate any Equipment inside of, or related to THAT Toronto Studio, knows how to use it, has taken all possible precautions to avoid accidents, and personally takes responsibility and assumes all liability for the use of said Equipment and materials used inside of THAT Toronto Studio, whether or not they are owned by Management. Renter shall assume 100% responsibility for all of their own conduct and actions inside of and in relation to THAT Toronto Studio, as well as that of Renter’s guests. This includes responsibility for damage to Equipment, any damage to which Renter must agree to reimburse Management for the full amount of the cost of replacing or repairing. Renter’s intentional and/or negligent failure to reimburse Management will result in a $5,010.00 CAD fine in addition to the already required damages, in addition to being placed on a Toronto-wide internal studio owners’ blacklist.
Note that the floor is slippery when wet, so please be mindful of your step.
COVID-19 NOTE: Renter shall not hold Management in any way liable should Renter contract any form of illness or disease as a result of Renter's use of That Toronto Studio. Renter releases Management from all liability by renting That Toronto Studio and/or related Equipment, shall hold Management harmless and waive any right so sue for damages related to contracting any disease or illness related to Renter's rental or use of That Toronto Studio. Also, for everyone’s safety, please use disinfecting wipes and wear masks as well as socially distance.
PETS & ANIMALS
Pets and animals are permitted under the following conditions: (1) they are walked thoroughly in advance so as to facilitate the animals doing their “business” prior to entering THAT Toronto Studio, (2) Renter shall assume 100% responsibility for their pet or animal, including but not limited to any injury caused either to, or from the pet or animal itself, as well as any damage caused by such animal.
CONFIRMATION OF AGREEMENT
By reserving their time slot, Renter warrants that they have understood all of their responsibilities towards this Agreement. If clarification is required, Renter shall contact Management prior to booking to seek clarification. Once Renter has booked their appointment, it is implied that they not only understand, but agree with the terms outlined herein and they shall not dispute any of the terms and conditions contained within the entirety of this Agreement, as it contractually binds both parties into a legal agreement.
CHANGES TO AGREEMENT
Renter acknowledges that Management reserves the right to change Agreement as deemed necessary in the interests of Management and THAT Toronto Studio, and they may do so without notice to Renter(s). The most up-to-date Agreement will always be posted on this webpage here, and Renter is responsible for keeping up-to-date with the most current Agreement.
BLANCA ROOM
(1) nothing else except you, your camera and your subjects may enter; no outside furniture, steps, ladders, tables, light stands (one is provided for you in the room), etc. allowed inside the Blanca Room. This is to prevent #2 from occurring.
(2) the floor is fragile, there will be fees for scratches and scuffs so please be mindful.
